Terms of Service

These Terms of Service govern access to Hani, including accounts, learning content, AI coaching, flashcards, mock exams, subscriptions, acceptable use, and account termination.

1. Agreement to these terms

These Terms of Service are a legal agreement between you and Hani. By creating an account, accessing, or using Hani, you agree to these Terms and our Privacy Policy.

If you use Hani on behalf of a school, company, or organization, you represent that you have authority to bind that organization. Additional written agreements may apply to institutional deployments.

2. The Hani service

Hani provides Chinese learning tools for Vietnamese speakers, including vocabulary lookup, Hán-Việt learning paths, flashcards, spaced repetition, grammar practice, listening exercises, pronunciation review, mock exams, AI chat, roleplay, dashboards, and personalized recommendations.

We may add, modify, suspend, or discontinue features over time, including free, premium, beta, experimental, or AI-powered features. We will try to avoid changes that materially reduce paid functionality during an active subscription period without reasonable notice.

3. Accounts and authentication

You must provide accurate account information and keep it up to date. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.

You may not share, sell, transfer, or allow others to use your account unless we expressly allow it. Notify us immediately if you believe your account has been compromised.

We may require email verification, OAuth verification, password resets, token rotation, rate limits, or additional checks to protect accounts and the platform.

4. Learning data and saved history

Hani stores learning history so the product can function across sessions, including flashcard decks, due reviews, mock exam attempts, answers, scores, bookmarks, grammar progress, streaks, AI recommendations, and roleplay session history.

Learning analytics are estimates intended to support study decisions. Scores, mastery labels, streaks, recommendations, and AI feedback may be incomplete, delayed, or inaccurate and should not be treated as official certification.

5. AI coaching and generated content

AI features may generate explanations, translations, corrections, study plans, roleplay responses, and personalized recommendations. AI output can be inaccurate or inappropriate, and you are responsible for evaluating it before relying on it.

You may not use AI features to generate unlawful, abusive, deceptive, infringing, sexually explicit, exploitative, or harmful content, or to bypass exams, security controls, or usage limits.

We may monitor, filter, rate limit, or block AI requests to operate the service safely, prevent abuse, improve quality, and comply with law.

6. User content

You retain ownership of content you submit, such as prompts, messages, deck names, answers, notes, and support requests. You grant Hani a worldwide, non-exclusive, royalty-free license to host, process, display, reproduce, modify, and use that content as needed to provide, secure, support, and improve the service.

You represent that you have the rights needed to submit your content and that it does not violate law, infringe intellectual property rights, or harm others.

We may remove or restrict user content that violates these Terms, creates risk, or is otherwise necessary to operate the service responsibly.

7. Acceptable use

You may not use Hani to break the law, infringe rights, harass or harm others, upload malware, scrape or exfiltrate data, probe vulnerabilities, interfere with the service, reverse engineer non-public systems, spam, impersonate others, or circumvent subscription, rate-limit, authentication, or safety controls.

You may not resell Hani, provide unauthorized commercial access, use automated systems at abusive volumes, or use the service to train competing models or services unless we provide written permission.

We may investigate suspected abuse and take action including warnings, feature limits, content removal, suspension, termination, or legal referral.

8. Subscriptions and payments

Some features may be free, while others may require a paid plan. Paid features, plan limits, billing periods, prices, trial terms, renewal dates, taxes, and cancellation options will be presented at purchase or in the account settings when available.

Subscriptions may renew automatically unless cancelled before the renewal date. Payments are processed by third-party payment providers, and their terms may also apply.

Except where required by law or expressly stated at purchase, fees are non-refundable. If we make a material paid-feature change or terminate a paid account without cause, we may provide a prorated refund or service credit at our discretion or as required by law.

9. Intellectual property

Hani and its software, designs, learning flows, curriculum structure, databases, prompts, trademarks, logos, and platform content are owned by Hani or its licensors and are protected by intellectual property laws.

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to use Hani for personal or authorized educational purposes.

You may not copy, modify, distribute, publicly display, sell, lease, or create derivative works from Hani content or software except as allowed by law or with our written permission.

10. Third-party services

Hani may integrate with third-party services such as authentication providers, hosting providers, analytics tools, email providers, payment processors, and AI model providers.

Third-party services are governed by their own terms and privacy practices. We are not responsible for third-party services that we do not control.

11. Account suspension and termination

You may stop using Hani at any time and may request account deletion through available product settings or support.

We may suspend or terminate access if you violate these Terms, create security risk, fail to pay fees, misuse AI features, infringe rights, or if continued access would expose Hani, learners, or third parties to legal or operational risk.

After termination, certain provisions continue to apply, including intellectual property, payment obligations, disclaimers, limitation of liability, dispute terms, and any rights or obligations that by their nature should survive.

12. Disclaimers

Hani is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted availability, error-free operation, specific learning outcomes, exam results, language fluency, or that AI output will always be accurate.

Educational content and AI feedback are for learning support only and are not a substitute for professional, academic, legal, medical, financial, or immigration advice.

13. Limitation of liability

To the maximum extent permitted by law, Hani and its affiliates, officers, employees, contractors, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, lost goodwill, or service interruption.

To the maximum extent permitted by law, our total liability for any claim relating to the service will not exceed the greater of the amount you paid to Hani for the service in the three months before the claim or USD 100.

14. Indemnity

You agree to defend, indemnify, and hold harmless Hani from claims, damages, losses, liabilities, costs, and expenses arising from your content, your misuse of the service, your violation of these Terms, or your violation of law or third-party rights.

15. Governing law and disputes

These Terms are governed by the laws of the jurisdiction where the company is established, without regard to conflict-of-law rules, unless local consumer law requires otherwise.

Before filing a claim, you agree to contact us and try to resolve the dispute informally. Some disputes may be handled in courts or other forums required by applicable law.

16. Changes to these terms

We may update these Terms as the product, legal requirements, or business practices evolve. If changes are material, we will provide reasonable notice. Continued use after the effective date means you accept the updated Terms.
